Keep your minute book current without a law firm on retainer.
Carta holds the registers, resolutions and documents an Ontario corporation has to keep. Update them from your phone or your desk, and give your accountant a read-only login when they ask.
Organizations created during the open beta keep a free perpetual license. Your records are stored on Canadian servers.

The tabs your lawyer expects to see.
A paper minute book is a binder with dividers. Carta keeps the same sections, so anyone who has reviewed one before knows where to look. Pick a tab to see what goes in it.
Directors and officers
Everyone who has sat on the board, with appointment and resignation dates. People who step down stay on the register with their history intact.

For the day someone asks for your records.
Your accountant needs the shareholders register for year-end.
Invite them as an auditor. They can read every register and download what they need, and they can't change anything.
The bank wants to know who can sign for the company.
Open the directors register, download the signed banking resolution from the vault, and send both the same afternoon.
A director steps down.
Record the resignation date. They stay on the register as a former director, and the audit log shows who made the change.
You're selling shares to a new partner.
Draft the resolution, record the issuance with its class and number of shares, and attach the signed copy once everyone has signed.

What Carta doesn't do. It doesn't file with the Ontario Business Registry for you, and there's no paralegal on call. Full-service incorporation companies include those and charge accordingly. If you already have a lawyer or accountant, you probably don't need them.
Questions people ask first.
What is a minute book?
A minute book is where a corporation keeps the records corporate law requires: its articles and by-laws, minutes and resolutions of directors and shareholders, and its registers of directors, shareholders and individuals with significant control. Carta keeps the same sections online.
Does every Ontario corporation need one?
Every corporation under the Business Corporations Act (Ontario) has to keep the records listed in section 140 of the Act, and not-for-profits have similar duties under the ONCA. The Act allows them to be kept electronically.
Does Carta work for not-for-profit corporations?
Yes. Choose ONCA when you set up the workspace and Carta uses a members register instead of a shareholder ledger, with ONCA documents and an ONCA compliance checklist.
Can Carta prepare our annual resolutions?
Yes. The document generator prepares the directors' and shareholders' annual resolutions, including the audit exemption consent, as signable PDFs filled in from your registers, and saves them to the minute book.
Does Carta file the annual return or notice of change?
No. Carta reminds you when the annual return is due and prepares a worksheet with what the Ontario Business Registry asks for. You file it yourself through the Registry.
How much does Carta cost?
Carta is free during the open beta, and organizations created during the beta keep a free, perpetual license with every feature. No card is needed to sign up.
Where is my data stored?
On servers located in Canada that aren't owned by a US company.
