Annual resolutions, consents and filing worksheets, filled in from your registers
Most of the paperwork a small corporation produces each year is the same documents with different names and dates. Carta's document generator fills them in from the registers you already keep. For most documents, the only thing you enter is the date.
What you can generate
For OBCA corporations and ONCA not-for-profits, Carta offers the documents below, each prepared as a signable PDF with signature lines for the right people.
- Annual resolutions of the directors, approving the financial statements and appointing officers
- Annual resolutions of the shareholders in lieu of a meeting (section 104), including the audit exemption consent (section 148)
- Annual resolutions of the members for not-for-profits, with the audit or review engagement choice (section 76 of the ONCA)
- Consent to act as a director or officer, and resignations, one document per person
- Organizational resolutions, By-law No. 1, share certificates and share subscriptions for new corporations
- A resolution recording director and officer changes
- An initial return or notice of change worksheet with the filing deadline worked out
- A dated copy of the ISC register
Filled in from your records
The generator reads the directors, officers, shareholders, holdings and members from your registers, so the signature blocks and share counts are right. If something is missing, such as a director's address, it tells you what to add and links to the register.
Saved to the minute book
Each generated PDF is saved to the document vault, and resolutions are added to the resolutions register as drafts. When everyone has signed, upload the signed copy as a new version of the same record. The draft and the signed copy stay together.
Prepared for the right company
Every document carries the corporation's legal name and Ontario corporation number from its profile. Those details lock after the first document is generated, so a workspace can't be used to prepare documents for a different company.
Common questions
Are these documents legal advice?
No. They are standard forms for common, routine decisions. Have a lawyer review anything unusual, such as a new share class, a dividend with tax implications or a dispute, before it's signed.
Can I edit a generated document?
The generator works from your records, so the usual fix is to correct the register and generate again. Regenerating adds a new version to the same vault record rather than creating a duplicate.
Does Carta file the annual return or notice of change for me?
No. Carta prepares a worksheet with everything the Ontario Business Registry asks for and the deadline, and you file it yourself through the Registry.
